Terms of Service

Please read these Terms of Service carefully before using OaaS. By accessing or using the OaaS platform, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Agreement

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and Takhitech ("OaaS", "we", "us") governing your use of the OaaS platform and related services.

By signing up, accessing, or using OaaS in any way, you confirm that you have read, understood, and agreed to these Terms. If you are agreeing on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.

2. The Service

OaaS provides an automated alarm response platform that integrates with security monitoring centre software (CMS). The service engages alarm contacts via voice, SMS, email, and chatbot on behalf of monitoring centres, records responses, and writes outcomes back to the CMS.

We reserve the right to modify, improve, or discontinue features of the service at any time. Where changes materially affect your use of the service, we will provide reasonable notice.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@takhitech.com if you suspect any unauthorised access to your account.

You must not share login credentials between users. Each user must have their own account. We reserve the right to suspend accounts that we reasonably believe are being misused or accessed without authorisation.

4. Acceptable Use

You agree to use OaaS only for lawful purposes and in accordance with these Terms. You must not:

  • Use OaaS to contact individuals without a legitimate alarm-related purpose
  • Attempt to reverse-engineer, decompile, or disassemble any part of the OaaS platform
  • Introduce malicious code, viruses, or any content designed to disrupt or damage the service
  • Attempt to gain unauthorised access to any systems, networks, or data connected to OaaS
  • Use OaaS in any way that violates applicable laws, including privacy and telecommunications laws
  • Resell, sublicense, or provide access to the service to third parties without our written consent

We reserve the right to suspend or terminate access immediately if we determine, in our sole discretion, that you are in breach of this section.

5. Your Data

Ownership. You retain ownership of all data you provide to OaaS, including alarm contact information, configuration data, and activation records ("Customer Data").

Licence. By using OaaS, you grant us a limited, non-exclusive licence to process your Customer Data solely for the purpose of providing the service to you. We do not use your Customer Data for any other purpose.

Responsibility. You are responsible for ensuring you have the legal right to provide contact information to OaaS and to engage those contacts via automated communications. You must comply with all applicable privacy laws, including the Australian Privacy Act 1988 and the Spam Act 2003, when using the service.

Data handling. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

6. Availability and Support

We target 99.5% monthly uptime for the OaaS platform. This excludes scheduled maintenance windows, which we will provide reasonable advance notice of where possible, and events outside our reasonable control.

We do not guarantee that the service will be uninterrupted, error-free, or that any specific feature will remain available indefinitely. OaaS is a supplementary automation layer and should not be relied upon as the sole means of alarm response. Your monitoring centre remains responsible for maintaining adequate operational procedures.

7. Payment and Billing

Pricing and billing terms are agreed separately between you and Takhitech prior to service commencement. All fees are in Australian dollars and exclude GST unless stated otherwise.

Invoices are due within 14 days of issue unless otherwise agreed. We reserve the right to suspend access to the service for accounts with overdue balances after providing reasonable notice.

Fees paid are non-refundable except as required by law or as explicitly agreed in writing.

8. Limitation of Liability

To the maximum extent permitted by law:

  • OaaS is provided "as is" and "as available" without warranties of any kind, express or implied
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service
  • Our total liability to you for any claim arising out of or relating to these Terms or your use of the service will not exceed the total fees paid by you in the three months preceding the claim

Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or any consumer guarantees under the Australian Consumer Law.

Important: OaaS is an automation tool that assists with alarm response. It does not replace trained human operators or emergency services. We are not liable for any loss, damage, or harm that results from an alarm not being responded to, regardless of the reason.

9. Termination

By you. You may terminate your account at any time by contacting us at support@takhitech.com. Termination takes effect at the end of your current billing period unless otherwise agreed.

By us. We may terminate or suspend your access immediately and without notice if you materially breach these Terms, including but not limited to non-payment, breach of the acceptable use policy, or any action that we reasonably believe poses a security risk.

Effect of termination. On termination, your access to the service will cease. We will provide a full export of your Customer Data and purge it from our systems within 30 days, in accordance with our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will be updated when changes are made. For material changes, we will notify current customers by email at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may terminate your account before the effective date of the changes.
